Welcome to TNDR. TNDR Pty Ltd ("TNDR", "we", "us" or "our") provides an online platform that enables head contractors, consultants, subcontractors and suppliers to publish, search for and respond to construction tenders (the "Service"). These Terms of Use ("Terms") describe the rules and responsibilities for access to and use of the Service. By accessing or using the Service you accept and agree to be bound by these Terms and our Privacy Policy.
By creating an Account or using the Service you confirm that you are lawfully able to enter into and form contracts (for individuals, this generally means you are at least 18 years old). If you register on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
To access certain features you must create an Account. You agree to provide accurate and complete information, keep your credentials secure, and promptly update your Account information if it changes. You are responsible for all activity under your Account. Notify us immediately at support@tndr.com.au if you suspect unauthorised use.
The Service supports multiple user roles (for example: Superadmin, Admin, Builder, Sub-contractor, Supplier). Your access to specific functionality may depend on your role. You agree to use the Service only in accordance with your assigned role and any applicable instructions or restrictions.
You retain ownership of Content you submit to the Service. By uploading or submitting Content you grant TNDR a worldwide, non-exclusive, royalty-free, transferable license to host, store, reproduce, distribute and display the Content as necessary to provide the Service and related features (for example, displaying a tender to potential responders).
You represent and warrant that you have the right to grant the licenses described above and that your Content does not infringe any third-party rights or violate applicable laws.

The Service allows Users to publish tenders and submit quotes. TNDR is a technology provider only and does not act as an agent, broker or contractor to facilitate procurement, contracting, or the sale of goods or services between Users. Any contract, payment or agreement entered into between Users is solely between the Parties involved. TNDR is not responsible for the performance, accuracy or legality of any User-to-User transaction or arrangement.
Some features may be subject to fees and paid subscriptions. Payments are processed through third-party payment providers (for example, Stripe). By purchasing a subscription you agree to the terms of the payment provider in addition to these Terms. Refund and cancellation policies are described in the relevant subscription pages and may be subject to additional terms.
The Service may contain links to third-party websites, integrations (for example, Freshchat, Stripe) and resources. TNDR does not endorse and is not responsible for third-party content, practices or policies. Use third-party services at your own risk.
All TNDR branding, code, designs and content (excluding User Content) are the intellectual property of TNDR or its licensors. You may not copy, modify, distribute or create derivative works without our prior written consent.
We collect and process personal data as described in our Privacy Policy. By using the Service you consent to such processing for the purposes set out in the Privacy Policy.
The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, TNDR disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent permitted by applicable law, TNDR and its officers, directors, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential or exemplary damages arising out of or related to your use of the Service, including loss of profits, revenue or data. Our aggregate liability for direct damages is limited to the greater of AUD 100 or amounts actually paid by you to TNDR in the 12 months preceding the claim.
You agree to indemnify and hold harmless TNDR from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms or your violation of any law or the rights of a third party.
We may suspend or terminate access to your Account or the Service at any time for violations of these Terms or for operational, security or legal reasons. Termination does not limit any rights or remedies we may have under these Terms or at law.
These Terms are governed by the laws of the State of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria.
We may amend these Terms from time to time. If we make material changes we will post a notice on the Service or otherwise notify you. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
